These Service Credit Terms ("Credit Terms") govern the purchase, use, and expiry of credits on the Palabra API Platform ("API Platform") and form part of your agreement with Palabra.ai Ltd ("Palabra", "we", "us", "our"). Capitalised terms used but not defined in these Credit Terms have the meanings given to them in the Terms of Use.
By purchasing credits or registering for the API Platform, you agree to these Credit Terms.
Access to the API Platform is billed using a credit-based system. Credits are a prepaid unit of value that may be applied toward the use of API services, including automatic speech recognition (ASR), speech-to-speech translation (STS), and text-to-speech synthesis (TTS), as made available on the API Platform from time to time ("Prepaid Credits").
Prepaid Credits do not constitute currency or legal tender, are not redeemable, refundable, or exchangeable for any sum of money or monetary value except where required by applicable law, have no equivalent value in fiat currency, and do not constitute or confer upon you any personal property right. Prepaid Credits represent a limited right to access features of the API Platform in accordance with these Credit Terms.
The rate at which Prepaid Credits are consumed depends on the service used and the volume of usage, as set out in the API documentation and on the Website. Palabra reserves the right to update consumption rates from time to time; any changes will apply prospectively and will not affect Prepaid Credits already held in your Account at the time the change takes effect.
Prepaid Credits may be purchased in such amounts as are available on the Website or through the API Platform at the time of purchase. By completing a Prepaid Credits purchase, you authorise Palabra and its payment providers to charge your selected payment method for the amount selected, any applicable taxes and charges. You are responsible for providing accurate and up-to-date billing information and for ensuring that your payment method remains valid.
You may enable an automatic recharge feature ("Auto-recharge") through your account settings. If Auto-recharge is enabled, you authorise Palabra to automatically charge your saved payment method and add Prepaid Credits to your Account when your available balance falls below the threshold you select.
Auto-recharge will remain active until you disable it or your Account is terminated in accordance with the Terms of Use. You may set a monthly recharge limit; Auto-recharge will stop once that limit is reached for the relevant calendar month. You may enable or disable Auto-recharge, and adjust the threshold and monthly limit, at any time through your account settings.
From time to time, Palabra may issue Credits without charge as part of a promotional, marketing, or trial programme ("Promotional Credits"). Promotional Credits are governed by these Credit Terms and may be subject to additional conditions notified at the time of issue, including separate expiry conditions or restrictions on use or eligibility.
Credits are issued solely for use by the Account holder on the API Platform. Prepaid Credits may not be transferred, sold, gifted, traded, sublicensed, or assigned, whether for value or otherwise, and any purported transfer is void. Any such attempt constitutes a material breach of these Credit Terms and may result, at Palabra's discretion, in the cancellation or forfeiture of some or all Prepaid Credits, or termination of your Account, without refund.
Unless otherwise specified at the time of purchase or issuance, all Prepaid Credits expire twelve (12) months after the date of purchase or issuance, as applicable. Palabra has no obligation to provide notice prior to the expiration of Prepaid Credits.
Once purchased, Prepaid Credits cannot be refunded, except as required by applicable law.
EU/UK consumers purchasing Prepaid Credits as individuals acting outside of their trade, business, or profession may have a statutory right to withdraw within fourteen (14) days of purchase. This right is lost once any Prepaid Credits from that purchase have been used. By using Prepaid Credits, you consent to immediate performance and acknowledge that the right of withdrawal is lost to that extent.
Upon suspension or termination of your Account, any unused Credits remaining in your Account will be forfeited without refund, except where required by applicable law.
Palabra reserves the right to modify these Credit Terms at any time. Any changes will be posted on the Website and will take effect upon posting or on such later date as may be specified. Your continued use of the API Platform following the effective date of any changes constitutes your acceptance of the revised Credit Terms.
These Credit Terms are incorporated into, and form part of, the Terms of Use. In the event of any conflict between these Credit Terms and the Terms of Use with respect to Credits, these Credit Terms shall prevail. All other provisions of the Terms of Use, including the governing law, limitation of liability, and dispute resolution provisions, apply to these Credit Terms.
